Schneider Electric Contract Risk & Credit Manager in Kocaeli Çayırova Plant, Turkey


From contract signing/coming into force until project close stage, the Execution Contract Manager's mission as part of complex and risky Projects, potentially executed across multiple countries is:

  • to provide project team with contractual, legal, customer and procurement process, tax, financial and administrative support through a collaboration with Corporate Functions when required;

  • to contribute to Risks & Opportunities identification and anticipation to mitigate any potential sources of conflict and to secure/improve gross margins;

  • to enable project team to become familiar with all the contractual aspects of the Project and, as a consequence, to be proactive throughout contract execution;

  • to guarantee the legitimacy and the effectiveness of any variation, claim and counter-claim actions implemented throughout contract execution, and to manage dispute resolution.



1) Selling & Execution :

  • Perform T&C; review & propose winning contractual set-up

  • Identify, review and mitigate financial, legal &commercial risks in coordination with SMEs

  • Negotiate T&Cs; with the customer, business partners & third party supplier along with Opportunity leader taking direction from Legal if needed, ensuring back to back contracts where appropriate

  • Follow project execution vs. contractual rights and obligations

  • Support the drafting of contractual correspondences

  • Support PM on contractual risk & opportunity identification and management

  • Propose and support the deployment of mitigation actions

  • Ensure local tax, bonding, insurance & customs issues are identified and addressed

2) Process Compliance Coaching :

  • Deploy Corporate guidelines, CPP Change order & Claim approach & Best Practices

  • Coach operational teams in all contract management related topics with support of SMEs & Solution University

  • Drive cultural change toward risk & contract management

  • Ensure Commercial cadence & governance through proposal process

  • Readiness for handover / mobilisation to project teams

Handles all contractual activities from the commencement of Project execution with the support of a Contract Engineer and/or a Contract Manager when required :

  • Reviews Term and Conditions of both customer and suppliers contracts

  • Attends the sales to execution handover meeting;

  • Coming in to Force administration;

  • Highlights the contractual risks/opportunities and proposes ensuing action plan;

  • Ensures understanding of key contractual aspects within project team and implements key internal and external processes (variation order management...) with input from SME functions;

  • Supports project team in managing any disagreement over contract scope (preparation/issuance of request for variation);

  • Assists the Project Manager in resolving refusals to pay and other contractually disputed matters (in coordination with Legal)

  • Drives project team in maintaining good record keeping for variation/claim files;

  • Support key contractual notices (delay, extension of time, loss and expense ..), sensitive written correspondences (email, letters, MoM) and transactional settlement agreements etc;

  • Handles all tax activities of the Project such as the creation of permanent establishment, the VAT registration and tax risks follow-up

  • Implements/follows-up financial means of payment (letter of credit...), bank guarantees and credit insurance.
